& conditions
Applicable to all B2B service and manufacturing agreements entered into with INTERESSENS SAS. Edition: April 2026.
1. Scope of application
These general terms and conditions (T&Cs) apply to all orders placed with INTERESSENS SAS (registered office: Le Plan Oriental, 695 Chemin de Fondurane, 83440 Montauroux, France — SIRET 790 654 321 00047). They apply exclusively to professional clients (B2B). Any order implies full and unreserved acceptance of these T&Cs.
2. Quotes and orders
Quotes are valid for 30 days from their issue date unless otherwise stated. An order is only firm after receipt of the signed purchase order and, where applicable, the advance payment specified in the quote. INTERESSENS reserves the right to refuse any order that does not meet its technical or commercial criteria.
3. Prices and payment
Prices are quoted in euros, excluding tax, ex-works Montauroux, unless otherwise stated. Payment terms are stated on each invoice (generally 30 days from invoice date for established clients, or advance payment for new clients). Any late payment shall give rise to late payment interest at three times the French legal interest rate, plus a flat-rate recovery indemnity of €40 per invoice.
4. Delivery
Delivery times are provided as indicative unless a firm deadline is contractually agreed in writing. Delays do not entitle the client to cancel the order or claim damages unless expressly provided for in the framework contract. Risk transfers to the client upon handover to the carrier (Incoterm EXW by default).
5. Intellectual property & confidentiality
Formulas, technical specifications and all project-related documentation developed by INTERESSENS for a client are assigned exclusively to that client upon full payment of the corresponding invoice. INTERESSENS undertakes, through a systematic NDA, never to disclose, reproduce or reuse any element specific to a client's project. This obligation survives termination of the commercial relationship for an unlimited period.
6. Warranties and liability
INTERESSENS guarantees that its products and services comply with current ISO 22716 standards and applicable cosmetic regulations. In the event of a proven defect attributable to INTERESSENS, its liability is limited to the amount of the order in question. INTERESSENS cannot be held liable for defects arising from raw materials or packaging supplied by the client.
7. Force majeure
Neither party shall be liable for any delay or failure to perform resulting from a force majeure event beyond its reasonable control (natural disaster, pandemic, strike, fire, regulatory change, etc.). The affected party shall notify the other as soon as possible and endeavour to resume performance within the shortest possible time.
8. Applicable law & disputes
These T&Cs are governed by French law. In the event of a dispute, the parties agree to seek an amicable solution before any legal proceedings. Failing agreement, exclusive jurisdiction is attributed to the Commercial Court of Draguignan, France, including in the event of multiple defendants or third-party proceedings.
